This Agreement is made on this 4th day of June, 2025, at Allahabad, between:
Mr. Rajan Mehta, aged about 38 years, son of Mr. Devendra Mehta, residing at Flat No. 402, Lotus Heights, Bandra West, Mumbai, hereinafter referred to as the “Author” (which expression shall include his heirs, legal representatives, and assigns), of the First Part;
AND
M/s Galaxy Law Publications, having its registered office at 21, Tagore Road, Allahabad, through its Proprietor Mr. Sunil Kapoor, hereinafter referred to as the “Publisher” (which expression shall include its successors and permitted assigns), of the Second Part.
WHEREAS:
The Author has written a book titled “Practical Guide to Legal Drafting” and is desirous of granting the exclusive right to publish, distribute, and sell the said book to the Publisher, including the right to translate and publish the book in Hindi or any other Indian language.
NOW THIS AGREEMENT WITNESSES AS FOLLOWS:
- The Author shall deliver the complete manuscript of the said book, duly typed, edited, and proofread, to the Publisher on or before 30th August, 2025.
- The manuscript shall be neatly typed, properly formatted, and free of typographical errors, checked thoroughly by the Author before submission.
- The Publisher shall supply to the Author any relevant law journals or reference materials required to complete the manuscript. In the event of delay in providing such materials, the delivery date shall be extended accordingly, by mutual consent.
- The Author declares that he is the sole and absolute owner of the work and that no part of the manuscript has been previously published or assigned to any third party. The copyright of the book shall remain with the Author, subject to the rights granted herein.
- The Author shall be solely liable for any claim, dispute, or legal action arising from copyright infringement or violation of any intellectual property rights in connection with the manuscript and agrees to indemnify the Publisher for any such losses or damages.
- The Author shall proofread the final typeset proofs of the book and return them to the Publisher within five (5) days of receipt. In case of delay, the Publisher shall be entitled to publish the book as finalized and include any necessary addenda.
- The Author shall also prepare a comprehensive index for the book and shall be paid Rs. 20/- per printed page by the Publisher for the same.
- No unwarranted additions or deletions shall be made in the proofs unless deemed essential by the Author for the clarity and completeness of the content.
- The Publisher agrees to publish and release the book within three (3) months from the date of final manuscript delivery.
- In the event that the Publisher fails to publish the book within the agreed period, the Author shall have the right to withdraw the manuscript and assign it to any other publisher. In such case, the Author shall refund 50% of any advance received from the Publisher.
- The Publisher shall pay the Author a royalty of 10% of the net printed price of each copy sold. Royalties shall be calculated monthly and paid to the Author on or before the 10th of each month.
- The Publisher shall retain exclusive publishing rights for a period of five (5) years from the date of publication. Upon expiry of this term, all rights shall automatically revert to the Author unless renewed in writing.
- The Publisher shall maintain a proper monthly sales ledger of the book and shall submit a copy to the Author along with the royalty payment.
- Any decision regarding future editions or revisions of the book shall be taken mutually, and terms for such editions shall be agreed in writing.
- In the event of any copyright violation or unauthorized use of the manuscript, the Author shall be solely responsible for legal action and shall bear all associated costs.
IN WITNESS WHEREOF, the parties have signed this agreement on the day, month, and year first written above in the presence of the undersigned witnesses.
