AGREEMENT TO SELL BY ATTORNEY

This Agreement is made and executed on this 10th day of May, 2025,

BETWEEN

Mr. Ramesh Verma, son of Mr. Gopal Verma, resident of 123, Green View Colony, Pargana and Tehsil Sadar, District Kanpur, acting through his duly constituted attorney Mr. Arun Kumar Singh, son of Mr. Rajendra Singh, residing at 570/475, Colonel Ganj, Tehsil and District Allahabad, by virtue of a Registered General Power of Attorney dated 24th July 2006, registered in Bahi No. 4, Zild No. 276 on Pages 323 to 334 at Serial No. 358 on 1st August 2006 in the Office of the Sub-Registrar, Allahabad (First),

(Hereinafter referred to as “the Vendor”, which term shall, unless repugnant to the context, include his heirs, legal representatives, executors, and assigns)

AND

Mr. Ajay Mehta, son of Late Mr. Shyam Mehta, resident of 45, Ashok Nagar, District Lucknow,

(Hereinafter referred to as “the Vendee”, which term shall, unless repugnant to the context, include his heirs, legal representatives, executors, and assigns)

WHEREAS the Vendor is the absolute and exclusive owner in possession of the open plot of land forming part of Nazul (now Freehold) Plot No. 3, Sub-Plot No. 3/7, situated near Cantonment Police Station, in the locality of Auckland Road, Allahabad, measuring 216.77 square meters, by virtue of a Registered Freehold Deed dated 9th March 2009, executed by the Additional District Magistrate (Nazul), Allahabad on behalf of and under authority from the Governor of Uttar Pradesh, and registered in the Office of Sub-Registrar, Allahabad (First).

AND WHEREAS the Vendor is in urgent need of funds and has decided to sell the said property. The Vendee has offered to purchase the said property for a total sale consideration of ₹8,00,000 (Rupees Eight Lakhs only), which offer the Vendor has accepted.

NOW, THEREFORE, THIS AGREEMENT WITNESSETH AS FOLLOWS:

  1. The Vendor agrees to sell and the Vendee agrees to purchase the aforesaid open plot of land as detailed in the schedule below for a total sale consideration of ₹8,00,000 (Rupees Eight Lakhs only).
  2. The Vendee has paid an advance sum of ₹7,20,000 (Rupees Seven Lakhs Twenty Thousand only) towards the total consideration amount, comprised as follows:
    • ₹3,50,000 (Rupees Three Lakhs Fifty Thousand only) via Bank Draft No. 154678 dated 28th April 2025, drawn on Bank of Baroda, Firozabad, payable at Allahabad.
    • ₹3,70,000 (Rupees Three Lakhs Seventy Thousand only) in cash.
      The Vendor hereby acknowledges the receipt of the said amount.
  3. The balance amount of ₹80,000 (Rupees Eighty Thousand only) shall be paid by the Vendee at the time of execution and registration of the final Sale Deed, which shall be done within three (3) years from the date of this Agreement.
  4. The possession of the said property shall be handed over to the Vendee at the time of execution of the final Sale Deed.
  5. The Vendor assures that the said property is free from all encumbrances, claims, liens, or legal disputes of any kind.
  6. If the Vendor fails to execute the Sale Deed despite due efforts by the Vendee, the Vendee shall be entitled to seek execution through a court of competent jurisdiction.
  7. If the Vendor refuses to deliver possession and execute the Sale Deed, he shall be liable to pay compensation equivalent to the then-prevailing market value of the said 216.77 square meters of land.
  8. All expenses including stamp duty, registration charges, and legal fees for this Agreement and the final Sale Deed shall be borne exclusively by the Vendee.

SCHEDULE OF PROPERTY

All that piece and parcel of land measuring 259.26 square yards (equivalent to 216.77 square meters), being part of Nazul (Now Freehold) Plot No. 3, Sub-Plot No. 3/7, situated near Cantonment Police Station, in Mohalla Auckland Road, Allahabad, and bounded as follows:

  • North – Adjoining Plot No. 3/8 belonging to Mrs. Savita Gupta
  • South – Adjoining Plot No. 3/6 belonging to Mr. Fakhruddin
  • East – Remaining portion of Plot No. 3
  • West – 15-feet wide internal road and then remaining portion of Plot No. 3

IN WITNESS WHEREOF, both the parties have set their respective hands and executed this Agreement to Sell on the date first above written, in the presence of the following witnesses:

Vendee: Mr. Ajay Mehta
