AGREEMENT TO SELL OPEN PLOT

This Deed of Agreement to sell is executed on this 4th day of June 2025 between Shri Ram Pratap Singh S/o Late Shri Bhagwat Prasad Singh, R/o Vill. & P.O. Karchana, Pargana & Tehsil Karchana, Distt. Prayagraj, hereinafter referred to as the Vendor / Ist Party

AND

Shri Manoj Kumar Yadav S/o Late Shri Gopi Nath Yadav, R/o 84/2, Rajapur, Pargana & Tehsil Sadar, Distt. Prayagraj, hereinafter referred to as the Purchaser / IInd Party.

Whereas the under Ist Party is the exclusive owner of Plot No. 118-A, fully described at the end of this deed. The Vendor (Ist Party) got the aforesaid Plot No. 118-A through registered sale deed dated 15.03.2010, and his name has also been mutated in the revenue record in Tehsil.

Whereas the Vendor Ist Party is in need of money and he has no other option except to sell the aforesaid plot. Shri Manoj Kumar Yadav, the aforesaid Purchaser IInd Party, has offered a sum of Rs. 12,00,000/- (Rupees Twelve Lakhs only) as sale consideration which is quite sufficient and none else is ready to pay the same or more, and therefore, the Vendor Ist Party has decided to sell the aforesaid Plot No. 118-A, Tehsil Sadar, Distt. Prayagraj, to the Purchaser IInd Party.

NOW THE PARTIES HERETO COVENANT AS UNDER:

  1. That the Vendor Ist Party shall sell and the Purchaser IInd Party shall purchase the aforesaid Plot No. 118-A, Tehsil Sadar, Distt. Prayagraj, fully described at the end of this agreement, against a total sale consideration amount of Rs. 12,00,000/- (Rupees Twelve Lakhs only).
  2. That the Purchaser IInd Party has paid Rs. 3,00,000/- (Rupees Three Lakhs only) on dated 04/06/2025 through Cheque No. 879654 of Allahabad Bank, Civil Lines Branch, Prayagraj to the Vendor Ist Party, and the Vendor hereby acknowledges the receipt of the same. The balance amount of Rs. 9,00,000/- (Rupees Nine Lakhs only) shall be paid by the Purchaser to the Vendor at the time of execution of the sale deed.
  3. That the Purchaser IInd Party shall be entitled to get the sale deed executed either in his own name or in favour of any of his nominee(s).
  4. That the Purchaser IInd Party shall be entitled to get the sale deed executed in his favour by the Court in case the Vendor Ist Party causes unnecessary delay in executing the sale deed, and for which the Vendor shall not raise any objection.
  5. That the Vendor Ist Party shall obtain necessary permissions from Competent Authorities and Income Tax Clearance Certificate at his own cost and, after obtaining the same, shall intimate the Purchaser IInd Party through registered post. The Purchaser IInd Party shall then get the sale deed executed within two months from the date of such notice and pay the balance consideration.
  6. That in case execution of the sale deed is deferred but balance consideration is paid and possession is handed over to the Purchaser, the Purchaser IInd Party shall be entitled to get the sale deed executed at any later time without any limitation.
  7. That the Vendor Ist Party assures that the said Plot No. 118-A is free from all encumbrances, litigation, or any liability.
  8. That if the Purchaser IInd Party fails to get the sale deed executed within two months of receiving written notice of readiness, the earnest money of Rs. 3,00,000/- shall be forfeited, and the agreement to sell shall stand cancelled.
  9. That the stamp duty and other expenses for the execution of the sale deed shall be borne by the Purchaser IInd Party.

IN WITNESS WHEREOF the parties, with their free will, have signed this Agreement to Sell on the date first above written in the presence of the witnesses.
