AMENDMENT OF THE CONTRACT

This Agreement for Amendment is made and entered into on this 4th day of June, 2025, by and between:

Mr. Abhay Bansal, son of Mr. Harish Bansal, resident of 123, Green Avenue, New Delhi, hereinafter referred to as “Party of the First Part”,
AND
Mr. Chirag Dutta, son of Mr. Lalit Dutta, resident of 45, Nehru Enclave, New Delhi, hereinafter referred to as “Party of the Second Part”.

WHEREAS the parties hereto entered into a written agreement dated 15th March, 2025, concerning the transfer of ownership and operations of Bansal Logistics Pvt. Ltd., and

WHEREAS the parties mutually desire to amend certain terms of the said agreement;

NOW, THEREFORE, in consideration of mutual promises and covenants contained herein, the parties agree as follows:

1. Reference to Original Agreement

The parties acknowledge the existence of a written agreement dated 15th March, 2025, which shall stand amended in accordance with the terms set forth below.

2. Amendments to the Original Agreement

(a) In Paragraph 1 of the original agreement, the words “effective from 1st April, 2025” shall be substituted with “effective from 15th April, 2025”.

(b) In Paragraph 2, after the words “the buyer shall take over management”, the following shall be added:
“including all existing employee contracts and vendor obligations as of the effective date.”

(c) In Paragraph 3, the words “subject to annual review” shall be deleted entirely.

3. Effect of Amendment

All other terms and conditions of the original agreement dated 15th March, 2025, not specifically amended herein, shall remain unchanged and in full force and effect.

IN WITNESS WHEREOF, the parties have executed this Amendment Agreement on the day, month and year first above written.
