DEED OF CONVEYANCE OF THE REVERSION

THIS SALE DEED is made and executed on this 2nd day of June 2025 at Kurnool by:

Sri Naseeruddin Khan, S/o Late Shri Moinuddin Khan, residing at House No. 42/3, G.T.B. Nagar, Kareli, Allahabad – 211016 (hereinafter referred to as the Vendor),

IN FAVOUR OF

Dr. Syed Haider Abbas, S/o Shri Syed Raza Abbas, Secretary/Manager, Unity Public School, Imamia Educational Society (Regd.), having its office at LandMark Consultancy Services, Lendi Baugh Complex, Near Sub-Registrar Office, Kurnool – 518003 (hereinafter referred to as the Purchaser).

WHEREAS

  1. The Vendor is in lawful possession of, and sufficiently entitled to, the property more fully described in the Schedule appended hereto.
  2. The Vendor, acting as lessor, had executed a lease deed dated 10th May 2018, in favour of the lessee, Sri Abdul Rahman, S/o Sri Jameel Ahmed, R/o 7A, G.T.B. Nagar, Kareli, Allahabad – 211016. The said lease was registered under Serial No. 582/2018 of Book No. 1 in the office of the Sub-Registrar at Allahabad.
  3. Under the terms of the said lease deed, the Vendor leased the property to the lessee for an annual rent, retaining the reversionary interest therein.
  4. The Vendor has agreed to sell and transfer his reversionary rights in the said property to the Purchaser for a total consideration of Rs. 20,00,000/- (Rupees Twenty Lakhs Only), out of which an amount of Rs. 5,00,000/- (Rupees Five Lakhs Only) has been paid in advance by the Purchaser to the Vendor as earnest money. The receipt of this amount is hereby acknowledged by the Vendor.
  5. This Deed is being executed by the Vendor at the request of the Purchaser to formalize the said transfer.

NOW THIS DEED WITNESSETH AS FOLLOWS:

In consideration of the total sale price of Rs. 20,00,000/-, of which Rs. 5,00,000/- was paid on 1st June 2025, and the balance of Rs. 15,00,000/- is paid on or before the presentation of this deed before the Sub-Registrar (receipt of which the Vendor hereby acknowledges), the Vendor does hereby convey, transfer, and assign all his rights, title, interest and reversionary interest in the property described in the Schedule below unto the Purchaser, together with all rights, privileges, profits, and appurtenances attached thereto.

To HAVE AND TO HOLD the said rights absolutely and forever, subject to payment of all municipal and statutory taxes, duties, assessments and other levies now or hereafter becoming payable in respect of the said property.

This conveyance is also subject to the terms and conditions of the aforementioned lease deed dated 10th May 2018.

THE VENDOR HEREBY COVENANTS AND DECLARES AS FOLLOWS:

  1. That the Vendor is the absolute and lawful owner in possession of the reversionary interest in the said property and is fully competent to sell the same.
  2. That from the date of this deed, the Purchaser shall enjoy all rights related to the said property without any interference, claim, eviction or legal hindrance from the Vendor or any person claiming under him.
  3. That the property is free from all encumbrances, liens, mortgages, charges, or prior claims, and that the Vendor indemnifies the Purchaser from any loss arising from any defect in title.
  4. That the Vendor and all persons claiming through him shall at all times and at the request and expense of the Purchaser, do or execute all such acts, deeds, and assurances as may be required for more fully and perfectly conveying the said property unto the Purchaser.

IN WITNESS WHEREOF, the Vendor has signed this Deed on the day, month and year first above written.
