This Sale Deed made at Allahabad on this 13th day of September, 2005, by Shri Naseeruddin Khan, Official Liquidator of XYZ Co. Ltd., a company incorporated under the Companies Act, 1956 and having its registered office at House No. 42/3, G.T.B. Nagar, Kareli, Allahabad – 211016 (hereinafter called “the Company (in liquidation)”, and also referred to as “the Vendor”) of the ONE PART;
AND
Unity Public School, through Dr. Syed Haider Abbas, Secretary/Manager, S/o Shri Syed Raza Abbas, R/o Unity Public School, A-Block, G.T.B. Nagar, near Bank of Baroda, Kareli, Allahabad – 211016, also represented by its official address at LandMark Consultancy Services, Lendi Baugh Complex, Near Sub-Registrar Office, Kurnool – 518003 (hereinafter called “the Purchaser”) of the OTHER PART.
WHEREAS, XYZ Co. Ltd. was ordered to be compulsorily liquidated and wound up by an order dated 12th January, 1987 passed by the Hon’ble Liquidation Judge of the Allahabad High Court, and the said Vendor was appointed as its Official Liquidator;
AND WHEREAS, for the purpose of liquidation, the Vendor submitted a report dated 01st July, 2005 to the Hon’ble Liquidation Judge, and the Hon’ble Judge vide order dated 10th August, 2005 authorised the Vendor to sell the Company’s properties, more particularly described in the Schedule hereto, by auction through M/s Reliable Auctioneers Pvt. Ltd., and in the auction held on 20th August, 2005, the highest bid of the Purchaser was accepted subject to Court approval, and a sum of ₹2,00,000 was deposited by the Purchaser.
AND WHEREAS, the Hon’ble Liquidation Judge by order dated 30th August, 2005 sanctioned the sale in favour of the Purchaser and authorised the Vendor to execute the sale deed.
NOW THIS DEED OF SALE WITNESSETH AS FOLLOWS:
In pursuance of the aforementioned orders dated 10.08.2005 and 30.08.2005, and in consideration of the sum of ₹6,46,400 (Rupees Six Lakh Forty-Six Thousand Four Hundred only) paid by the Purchaser via Demand Draft No. 098765 dated 12.09.2005 issued by SBI – Kareli Branch, the receipt whereof the Vendor hereby acknowledges, the Vendor hereby grants, conveys, transfers and sells to the Purchaser all the property mentioned in the Schedule hereto.
The Purchaser, his heirs, legal representatives, executors, administrators, and assigns shall henceforth hold the said property as full and absolute owner thereof.
The Vendor hereby covenants as follows:
- That the Vendor and the Company have good title to transfer and convey the property.
- That the Purchaser shall peacefully possess and enjoy the property without hindrance from the Vendor, the Company, or anyone claiming under them.
- That the property is free from encumbrance or charge as per company records since the date of winding up.
- That all taxes, dues, assessments, and outgoings have been cleared till the date of sale.
- That the Vendor shall not be personally liable for any defect in title.
- That possession and all original title deeds have been handed over to the Purchaser on the date of registration.
