THIS DEED of Sale made at Allahabad this 3rd day of June 2025 by Mr. Naseeruddin Khan, son of Late Shri Moinuddin Khan, resident of House No. 42/3, G.T.B. Nagar, Kareli, Allahabad – 211016, appointed as executor under the Will, dated 12.01.1987, executed by Shri Ghulam Rabbani Khan (hereinafter called the Vendor) in favour of UNITY PUBLIC SCHOOL, through Dr. Syed Haider Abbas, Secretary/Manager, S/o Shri Syed Raza Abbas, resident of Unity Public School, A-Block, G.T.B. Nagar, near Bank of Baroda, Kareli, Allahabad – 211016 (hereinafter called the Purchaser).
RECITALS
WHEREAS, Shri Ghulam Rabbani Khan was absolutely seized and possessed of, or well and sufficiently entitled to, the house bearing Municipal Plot Nos. 1068 and 1068-A, situated on G.T.B. Nagar Road, Kareli, Allahabad – 211016, more particularly described in the Schedule hereto.
AND WHEREAS, the said Shri Ghulam Rabbani Khan executed his last Will and testament on 12.01.1987, wherein the Vendor herein, Mr. Naseeruddin Khan, was appointed as the executor.
AND WHEREAS, the said Vendor obtained the probate of the said Will on 20.11.2005 from the Court of the District Judge, Allahabad.
AND WHEREAS, in terms of the said Will, the legacies mentioned therein are to be paid, which cannot be discharged without selling part of the estate left by the deceased.
AND WHEREAS, the house described in the Schedule was used solely by the deceased during his lifetime, and is currently lying vacant, as his heirs are all well-settled outside Allahabad. The Vendor, therefore, decided to sell the said house to meet the testamentary obligations.
AND WHEREAS, the Vendor has agreed to sell and the Purchaser has agreed to purchase the said house for a price of Rs. 65,00,000 (Rupees Sixty-Five Lakhs only) vide agreement dated 01.05.2025.
TRANSFER CLAUSE
NOW THIS SALE DEED WITNESSETH that in pursuance of the said agreement and in consideration of the said sum of Rs. 65,00,000, out of which a sum of Rs. 5,00,000 was paid on 01.05.2025 as earnest money (receipt of which the Vendor hereby acknowledges), and the balance sum of Rs. 60,00,000 has been paid by the Purchaser before the Sub-Registrar at the time of registration (receipt of which the Vendor also acknowledges), the Vendor hereby sells, conveys, and transfers to the Purchaser the entire interest and title in the property described hereunder, along with all rights, easements, and appurtenances attached thereto, to have and to hold the same unto the Purchaser as the absolute owner thereof, free from all encumbrances.
The Vendor has delivered possession of the said house, along with all relevant title deeds and documents, to the Purchaser before the presentation of this deed for registration.

All that piece and parcel of land bearing Municipal Plot Nos. 1068 and 1068-A, situated at G.T.B. Nagar, Kareli, Allahabad – 211016, measuring 540.67 Sq. Mtrs., freehold and open land, bounded as follows:
